AN ACT TO INCORPORATE THE CHURCH OF THE FOURSQUARE GOSPEL IN SRI LANKA.
Preamble

WHEREAS an Association consisting of several believers in the Gospel of Jesus Christ, called and known as the “Church of the Foursquare Gospel” has heretofore been established in Sri Lanka for the purpose of effectually carrying out and transacting all objects and matters connected with the said Association according to rules agreed to.. by the members:

AND whereas the said Association has heretofore successfully carried out and transacted the several objects and matters for which it was established and has applied to be incorporated and it will be for the public advantage to grant the application:

BE it therefore enacted. by the Parliament of the Democratic Socialist Republic of Sri Lanka as 10llows:

Short title

1. This Act may be cited as the Church of the Foursquare Gospel in Sri Lanka (Incorporation) Act, No. 37 of 1986.

Incorporation of the Church of the Four square Gospel in Sri Lanka.

2. From and after the date of the commencement of this Act, such and so many persons as now are members of the Church of the Foursquare Gospel in Sri Lanka (hereinafter referred to as “the Church”) including the persons whose names appear in the First Schedule hereto who are the present members of the Board of Directors or the Church and their successors elected in the manner hereinafter provided and such and so many persons who shall hereafter be admitted as members of the corporation hereby constituted shall be a body corporate (hereinafter referred to as the” Corporation “) with perpetual succession, under the name and style of “The Church of the Foursquare Gospel in Sri Lanka” and by that name shall, and: may, sue or be sued in all courts, with full power and authority to have and use a common seal and to change, alter and renew same at its discretion.

General objects of the corporation

3. The general objects of the Corporation shall be

(a) to propagate and disseminate the religious principles embraced in the Foursquare Gospel as presented in the CREEDAL STATEMENT “compiled by Aimee Semple McPherson, Founder of the parent Church, namely, the International Church of the Foursquare Gospel, 1100, Glendale Boulevard Les Angeles California, United States of America, (hereinafter referred to as the” parent Church”) and which CREEDAL STATEMENT is fully declared and set out in the Second Schedule hereto;

(b) to operate exclusively for charitable, religious or educational purposes in furtherance of the objects specified in paragraph (a) of this section and to

(i) establish, maintain and conduct suitable organizations and to supervise the affairs of the members of such organizations in their relationship to the Corporation;

(ii) license and to ordain ministers of the Gospel and missionaries for the furtherance of the word of the Church in Sri Lanka and all foreign .countries in accordance with the rules promulgated by the Board of Directors of the Corporation;

(iii) establish, own and operate schools of collegiate grade and of any grade less than such grade;

(iv) establish, maintain and conduct missions endeavour to promote the furtherance of the Gospel in Sri Lanka and all foreign countries according to the rules promulgated- by the Board of Directors of the Corporation in conformity with the principles enunciated in the Creedal Statement;

(v) promote, foster and protect the interests of the believers of the Foursquare Gospel in Sri Lanka and to safeguard the rights and privileges of such persons;

(vi) establish churches and religious organizations for the dissemination and propagation of the Foursquare Gospel in Sri Lanka, subject to rules of the Corporation;

(vii) undertake charitable and human development activities;

(viii) do all such acts as may be deemed necessary and conducive to the spiritual advancement of mankind through the study and practice of the Gospel of Jesus Christ;

(ix) do any and all acts or things necessary suitable or convenient for the accomplishment of any purpose, or for the attainment of anyone or more of the objects herein specified or which shall at any time appear conducive thereto or expedient therefor, if not inconsistent with the provisions of any laws which might apply to the accomplishment of such purposes or attainment of such objects;

Corporation to be a non-profit organisation.

(1) The Corporation shall be organised and operated as a non-profit organisation, and no part of the gains, profits or dividends of the Corporation shall be distributed amongst the members of the Corporation.

(2) In the event of the dissolution of the Corporation all the assets remaining after payment of all debts and liabilities thereof, shall be disposed of exclusively to or benefit of any fund or organisation, established or organised exclusively for religious, charitable or educational purposes.

Corporation not to engage in politics.

5. The Corporation shall not as any part of its activities carryon any propaganda or otherwise attempt to influence legislation nor participate in any political ‘campaign on behalf of any candidate for public office.

Ecc1esiastical subordination to the parent Church.

6. The Corporation shall be ecclesia8tically subordinated to the parent church, but shall have the absolute freedom to act independently and do any and all acts or things not contrary to or inconsistent with the declared principles and policies of the said parent Church, necessary for the attainment of the objects of the Corporation.

Board of Directors of the Corporation

(1) The affairs of the Corporation shall be administered by a Board of Directors (hereinafter referred to as ‘the Board’) consisting of not less than five and not more than twelve members, elected in accordance with the rules of the Corporation.

(2) The members of the First Board of Directors shall be the members of the Board of Directors of the Church holding office at the time of coming into operation of this Act and whose names are specified in the First Schedule hereto.

Quorum

8. The quorum for any meeting of the Board shall be five members.

Rules of the Corporation.

(1) It shall be lawful for the Board at any time of its meetings held after due notice and by a majority of votes of the members present and voting at such meeting to make rules not inconsistant with this Act or any other written law for

(a) the admission, withdrawal or expulsion of members;

(b) the conduct of the duties of the Board and of the various local church, offices, agents and servants of the Corporation;

(c) the procedure to be followed in the transaction of business;

(d) the election or appointment of the officers of the Corporation or of the members of the Board and their tenure of office;

(e) such other purposes incidental to and connected with the proper administration of the Corporation.

(2) The rules of the Corporation when made may at a like meeting be altered, added, amended or cancelled.

Members to be subject to Rules or the Corporation at all times.

10. All members of the Corporation shall at all times be subject to the rules for the time being of the Corporation.

Corporation may hold property movable and immovable.

11. The Corporation shall be able and capable in law to take and hold any property both movable and immovable which may become vested in it by virtue of any purchase, grant, gift, testamentary disposition or otherwise and all such property shall be held by the Corporation for the purposes of this Act and subject to the rules in force for the time being of the Corporation with full power to sell, mortgage, lease, exchange or otherwise dispose of the same.

Debts due by and payable to the Corporation

12. All debts and liabilities of the Church existing at the time of the coming into operation of this Act shall be paid by the Corporation hereby constituted and all debts due to and subscriptions and contributions payable to the Church shall be paid to the Corporation for the purposes of this Act.

General powers of the Corporation.

13. Subject to the provisions of this Act and any other written law the Corporation shall have the power to do, perform and execute all such acts, matters and things whatsoever as are necessary or desirable for the promotion or furtherance of the aims and objects of the Corporation or anyone of them including the power to open, operate and close bank accounts, to borrow or raise moneys with or without security, to receive or collect grants and donations, to invest its funds and to engage, employ and dismiss personnel required for the carrying out of the aims and objects of the Corporation.

The Corporation to have an office.

14. The Corporation shall have its own office, and the common seal of the Corporation shall be in the custody of the Chairman of the Board and shall not be affixed to any instrument or document except in the presence of the Chairman and either the Treasurer or one other member of the Board who shall sign their names on the instrument or document in token of their presence and such signing shall be independent of the signing of any person who may sign such instrument or document as a witness.

Saving of rights of the Republic and other rights.

15. Nothing in this Act contained shall prejudice or affect the rights of the Democratic Socialist Republic of Sri Lanka or any Body politic or corporate or of any other persons except such as are mentioned in this Act and those claiming by, from or under them..
