Dev Suwa Sevawa (Incorporation) Law


A LAW TO INCORPORATE A SOCIETY CALLED THE DEV SUWA SEVAWA.

WHEREAS the Reverend Theodore Henry Perera founded a Mission for the preaching of the Gospel of Jesus Christ, with special emphasis on His Healing Ministry, in Kadalana, Moratuwa, by the name of Dev Suwa Sevawa:
And whereas the general public voluntarily contributed funds for the carrying on of the aforesaid Ministry:
And whereas the said Reverend Theodore Henry Perera, jointly with his wife, Delicia Joyce Perera, bought out of the said funds immovable property and now hold such property in trust for the purpose of carrying on this Ministry:
And whereas the affairs and objects of the said Ministry have hitherto been managed and carried out by a group of people who later framed and accepted a constitution and became a Society known as the Dev Suwa Sevawa:
And whereas the said Society known as Dev Suwa Sevawa has applied to be incorporated, and it will be for the public advantage to grant the application:
Be it therefore enacted by the National State Assembly of the Republic of Sri Lanka as follows:
Short title.
1. This Law may be cited as the Dev Suwa Sevawa (Incorporation) Law, No. 16 of 1975.
Incorporation of the Dev Suwa Sevawa.
2. From and after the date of the commencement of this Law, such number of persons as now are members of the Society known as Dev Suwa Sevawa (hereinafter in this Law referred to as ” the Society “) or shall hereafter be admitted members of the Corporation hereby constituted, shall be and become a Corporation with continuance for ever under the name of ” The Dev Suwa Sevawa ” (hereinafter in this Law referred to as ” the Corporation “) and by that name may sue and be sued in all courts.
Common seal.
3. The Corporation shall have full power and authority to have and use a common seal and alter such seal at its pleasure. The seal of the Corporation shall not be affixed to any instrument whatsoever except in the presence of the President, Secretary and another member of the Committee who shall sign their names to the instrument in token of their presence, and such signing shall be independent of the signing of any person as a witness.
General objects of the corporation.
4. The general objects of the Corporation shall be to preach the Gospel of Jesus Christ, with special emphasis on His Healing Ministry, and for such purpose, among other activities –

(a) to establish charitable homes for-

(i) the caring, relieving and healing of people who are sick in body, mind and spirit; and
(ii) the rescuing of drug addicts and alcoholics from addiction to drugs and alcohol; and
(b) in a charitable manner, to help to restore the wholeness of mart.
Power of the Corporation to hold property.
5. The Corporation shall be capable in law to take and hold any property, movable or immovable, which may become vested in it by virtue of any purchase, grant, gift, testamentary disposition or otherwise, and all such property shall be held by the Corporation for the purposes of this Law and subject to the rules for the time being of the Corporation, with full power to sell, mortgage, lease, exchange or otherwise dispose of the same.
General powers of the Corporation.
6. The Corporation shall have the power to do, perform and execute all such acts, matters and things whatsoever as are necessary or desirable for the promotion or furtherance of the objects of the Corporation or any one of them including the power to open, operate and close bank accounts, to borrow or raise moneys with or without security, and to engage, employ and dismiss personnel required for the carrying out of the objects of the Corporation.
Debts, &c, due by and to the Society to be payable by and to the Corporation.
7. All the debts and liabilities of the aforesaid Society existing on the date of the commencement of this Law, shall be paid by the Corporation hereby constituted, and all debts due to and subscriptions due and payable to the said Society on the date of the commencement of this Law shall be paid to the Corporation hereby constituted.
Management of the affairs of the Corporation.
8. The affairs of the Corporation shall, subject to the rules for the time being in force, be managed by the Committee of the Corporation consisting of the President, the Secretary, the Treasurer and nine other members to be elected in accordance with the rules of the Corporation.
Rules of the Corporation.
9.

(1) The rules of the Society in force on the date of commencement of this Law shall be the first rules of the Corporation.
(2) It shall be lawful for the Corporation to amend or rescind all or any of the aforesaid rules or to add fresh rules thereto, at a general meeting of the Corporation by the votes of two-thirds of the members present and voting at such meeting.

10. All members of the Corporation shall be subject to the rules of the Corporation for the time being in force.

11. Nothing in this Law contained shall prejudice or affect the rights of the Republic of Sri Lanka, or of any body politic or corporate, or of any other persons, except such as are mentioned in this Law and others claiming by, from or under them.
