AN ACT TO INCORPORATE THE GAMPAHA YOUNG MEN’S BUDDHIST ASSOCIATION
Preamble.

WHEREAS an Association called and known as the “Gampaha Young Men’s Buddhist Association”, was established in the year One Thousand Nine Hundred and Forty-One, for the purpose of effectually carrying out and transacting all matters connected with the said Association according to the rules agreed to by its members :

AND whereas the said Association has heretofore successfully carried out and transacted the several objects and matters for which it was established, and has applied to be incorporated, and it will be for the public advantage to grant the application :

Be it therefore enacted by the Parliament of the Democratic Socialist Republic of Sri Lanka as follows:

Short title.

1. This Act may be cited as the Gampaha Young Men’s Buddhist Association (Incorporation) Act, No. 1 of 1984.

Incorporation of the Gampaha Young Men’s Buddhist Association.

2. From and after the date of commencement of this Act, such and so many persons as now are members of the Gampaha Young Men’s Buddhist Association (hereinafter referred to as ” the Association”) or shall hereafter be admitted members of the Corporation hereby constituted, shall be a body corporate (hereinafter referred to as ” the Corporation “) with perpetual succession under the name and style of the ” Gampaha Young Men’s Buddhist Association ” and by that name may sue and be sued in all courts, with full power and authority to have and to use a common seal and to change and alter the same at its pleasure,

General objects of the Corporation.

3. The general objects for which the Corporation is constituted are hereby declared to be:

(a) to provide facilities for fostering Buddhist education;

(b) to encourage the practical observance of the Buddha Dhamma ;

(c) to promote unity and co-operation among Buddhists;

(d) to advance the moral, cultural, physical and social welfare of Buddhists ; and

(e) to promote the interest of Buddhism.

Executive Committee.

(1) The affairs of the Corporation shall, subject to the rules in force for the time being of the Corporation, be administered by an Executive Committee consisting of the office-bearers and such number of other persons as may be elected in accordance with the rules in force for the time being of the Corporation.

(2) The first Executive Committee of the Corporation shall be the Executive Committee of the Association holding office on the date of commencement of this Act.

Rates of the Corporation.

(1) It shall be lawful for the Corporation, from time to time, at any general meeting of the members and with the consent of two-thirds of the members present and voting, to make rules not inconsistent with the provisions of this Act for the admission, withdrawal or expulsion of members, for the conduct of the duties of the Executive Committee and of the various officers, agents and servants of the Corporation, for the procedure to be followed in the transaction of business and otherwise generally for the management of the affairs of the Corporation and the accomplishment of its objects. Such rules when made and passed may, at a like meeting and in like manner, be altered, added to, amended or rescinded.

(2) All members of the Corporation shall at all times foe subject to the rules in force for the time being of the Corporation.

Debts due by and payable to the Association.

6. All debts and liabilities of the Association existing at the time of the coming into operation of this Act shall be paid by the Corporation, and all debts due to and subscriptions and contributions payable to the Association shall be paid to the Corporation for the purposes of this Act.

How the seal of the Corporation is to be affixed.

7. The seal of the Corporation shall not be affixed to any instrument whatsoever except in the presence of two of the members of the Executive Committee, who shall sign their names to the instrument in token of their presence, and such signing shall be independent of the signing of any person as a witness.

Corporation may hold property movable and immovable.

8. The Corporation shall be capable in law to take and hold any property movable or immovable, which may become vested in it by virtue of any purchase, grant, gift, testamentary disposition or otherwise, and all such property shall be held by the Corporation for the purposes of this Act, and subject to the rules in force for the time being of the Corporation, with full power to sell, mortgage, lease, exchange or otherwise dispose of the same, and may raise or borrow money, with or without security, for the purposes of the Corporation.

Board of Trustees.

9.

(1) There shall be a Board of Trustees of the Corporation (hereinafter referred to as the “Board”) consisting of such number of persons as may be provided for in the rules in force for the time being of the Corporation.

(2) The first Board shall consist of the Board of Trustees of the Association holding office on the date of commencement of this Act. Where a vacancy occurs among the members of the Board hereafter, the remaining members of the Board shall fill such vacancy by electing a fit and proper person as a member of the Board.

(3) No person shall be elected a member of the Board if he –

(a) is not a life-member of the Corporation,

(b) has been a member of the Corporation for less than five years,

(c) has been adjudged an insolvent by a competent court,

(d) has been adjudged by a competent court of unsound mind, and

(e) is less than forty years of age.

(4) No act or decision of the Board she or be deemed to be invalid by reason only of any vacancy in the Board provided decision has been approved by not less than of the Board at a duly constituted meeting

(5) No act of the Executive Committee shall be valid or effective for the purchase of any rights in the property or funds of for creating any liability or claim unless such act has been previously authorised
by a general meeting of the Corporation and by a majority decision of the Board at a meeting of the Board: Provided that no such authorisation shall be necessary in. the case of any one of the following:

(a) lease of any immovable property for a period not exceeding one year; or

(b) disposal of any movable property of a value not exceeding one thousand rupees.

Saving of the rights Republic and others

10. Nothing in this Act contained shall prejudice or affect the rights of the Republic or of any body politic or corporate, or of any other persons, except such as are mentioned in this Act, and those claiming be, from or under them.
