AN ACT TO INCORPORATION THE INSTITUTE OF PHYSICS, SRI LANKA

WHEREAS an Institute called and known as the Institute of Physics, Sri Lanka, has here fore been established for the promotion and advancement of the science of physics and for the purpose of effectually carrying out its objects according to the rules agreed to by its members :

AND whereas the said Institute has applied to be incorporated in order to enable it more effectively to carry out and fulfil the several objects and purposes for which it was established, and it will be for the public advantage to grant the application :

BE it therefore enacted by the Parliament of the Democratic Socialist Republic of Sri Lanka, as follows :-

Short title.

1. This Act may be cited as the Institute of Physics, Sri Lanka (Incorporation) Act, No. 12 of 1986.

2. From and after the date of commencement of this Act, such and so many persons as now are corporate members of the Institute of Physics, Sri Lanka (hereinafter referred to as the Institute) or shall hereafter be admitted as corporate members of the Corporation hereby constituted, shall (so long as they continue to be corporate members) be and become a body corporate (hereinafter referred to as the Corporation) with perpetual succession under the style and name of institute of Physics, Sri Lanka, and by that name may sue and be sued in all courts, with full power and authority to have and to use a common seal and to alter the same at its pleasure.

General objects of the Corporation.

3. The general objects fro which the Corporation is constituted are hereby declared to be-

(a) to promote and advance the science of physics and its application in Sri Lanka by-

(i) providing a center for the acquisition, dissemination and interchange of knowledge and information in physics ;

(ii) providing a forum for the presentation of original communications and discussions there on ;

(iii) publishing matters of interest in relation to the profession of physics ;

(iv) establishing and maintaining libraries ;

(v) promoting and maintaining standards in physics education at all levels ;

(vi) promoting, encouraging and fostering research in physics ; and

(vii) promoting the application of physics in the development activities of the country ;

(b) to bring to the notice of the Government, public corporation, local bodies and other institutions all matters connected with the application of physics to the development of the country.

(c) to ensure the maintenance of high standards by members in their professional activities ;

(d) to establish liaison, and if necessary, seek affiliation with other scientific and professional organizations in Sri Lanka or aboard ;

(e) to safeguard and enhance the status of the profession of physics in Sri Lanka ;

(f) to secure satisfactory working and living conditions for physicists in Sri Lanka ; and (g ) to take any other measures that may be necessary for the attainment of all or any of the objects of the Corporation.

General powers of Corporation.

4. Subject to the provisions of this Act and may other written law, the Corporation shall have the power to do, perform and execute all such acts, matters and things whatsoever as are necessary or desirable for the promotion or furtherance of the objects of the Corporation or any one of them including the power to open, operate and close bank accounts, to borrow or raise moneys with or without security, to receive or collect grants and donations, to invest its funds, and to engage, employ and dismiss personnel required for the carrying out of the objects of the Corporation.

Management of the affairs of the Corporation.

(1) The affairs of the Corporation shall, subject to the rules of the Corporation, be administered by a Council consisting of the office-bearers and such other persons as may be provided for in the rules of the Corporation and elected each year by the corporate members of the Corporation from among their number at the Annual General Meeting of the Corporation in accordance with such rules.

(2) The first Council of the Corporation shall be the Council of the Institute holding office on the day immediately preceding the date of commencement of this Act.

Rules of the Corporation.

(1) It shall be lawful for the Corporation, from time to time, at any general meeting of the members and by the votes of not less than two-thirds of the members present and entitled to vote, to make rules, not inconsistent with provisions of this Act and any other written law, for the admission, withdrawal, retirement or expulsion of members and for the management of the affairs of the Corporation and the accomplishment of its objects. Such rules when made may, at a like meeting and in like manner, be altered, added to, amended or rescinded.

(2) The members of the Corporation shall be subject to the rules in force for the time being of the Corporation.

Power to acquire property and raise money.

(1) The Corporation shall be able and capable in law to acquire by purchase, gift, devise, bequest, exchange or any other manner and to hold, any movable or immovable property and to dispose of any such property acquired or held by the Corporation.

(2) The Corporation shall have the power to borrow or raise money necessary for the furtherance of its objects and to create, execute, grant or issue any mortgages, bonds or obligations to secure the payment of such money.

(3) All property, movable and immovable, acquired or held by the Corporation and all moneys paid to or received by the Corporation under this Act or the rules, shall be held, used and applied by the Corporation in accordance with the rules for the furtherance of its objects and subject to such rules, the Corporation shall have the power from time to time to buy, sell, grant, convey, devise, assign, property and invest its funds in such manner as may be necessary or expedient for the furtherance of its objects.

Power to charge fees and subscriptions.

8. The Corporation shall be able and capable in law to charge-

(a) such fees as the Corporation may deem reasonable for admission to any course or examination conducted by the Corporation ;

(b) such fees as may be required to be paid by the Corporation for the election of persons to any class of membership of the Corporation ; and

(c) such subscriptions and fees as the Corporation may deem reasonable in respect of services provided by the Corporation.

Debts due by and payable to the Institute.

9. All debts and liabilities of the Institute existing on the date immediately preceding the date of commencement of this Act shall be paid or discharged by the Corporation hereby constituted and all debts due to, and subscriptions and fees payable to, the Institute shall be paid to the Corporation for the purposes of this Act.

Appointment of Committees.

10. The Corporation shall have the power to appoint any Committee and to take such other steps as may be found necessary, form time to time, for the maintenance of professional standards and discipline among persons practicing or acting as physicists in Sri Lanka.

How the seal of the Corporation is to be affixed.

11. The seal of the Corporation shall not be affixed to any instrument except in the presence of such persons as the Council shall authorize from time to time, who shall sign their names to the instrument in token of their presence, and such signing shall be independent of the signing of any person as a witness.

Saving of the rights of the Republic and others.

12. Nothing in this Act contained shall prejudice or affect the rights of the Republic or of any body politic or corporate or of any other persons, except such as are mentioned in this Act and those claiming by, from or under them.
