International Friendship, Educational, Cultural And Social Services Association(Incorporation)
AN ACT TO INCORPORATE THE INTERNATIONAL FRIENDSHIP EDUCATIONAL CULTURAL AND SOCIAL SERVICES ASSOCIATION
Preamble

WHEREAS an Association called and known as the International Friendship. Educational. Cultural and Social Services Association has heretofore been established in Sri Lanka for the purpose of effectually carrying out its objects and transacting all matters connected with the said Association according to the rules agreed to by its members :

AND WHEREAS the said Association has applied 10 be incorporated and it will be for the public advantage, to grant the application.

BE it therefore, enacted by the Parliament of the Democratic Socialist Republic of Sri Lanka as. follows:-

Short title.

1. This Act may be cited as the International Frendship. Educational. Cultural and Social Services Association (Incorporation) Act. No. 30 of 2000.

Incorporation of the International Friendship Educational Cultural and Social Services Association.

2. From and after the date of commencement of this Act. such and so many persons as now are members of the International Friendship. Educational. Cultural and Social Services Association (hereinafter referred to as ”the Association’1) or shall hereafter be admitted members of the Corporation hereby constituted shall be a body corporate (hereinafter referred to as the ” Corporation” ) with perpetual succession under the name and style of the “International Friendship, Educational. Cultural and Social Services Association ” and by that name may sue and be sued with full power and authority to have and use a common seal and alter the same at its pleasure.

General objects of the Corporation.

3. The general objects for which the Corporation is constituted are hereby declared to be”

(a) to promote friendship, brotherhood and co-operation among all communities of the world ;

(b) to work and aspire for the achivement of national. religious and ethnic harmony and to endeavour to, eliminate religious and ethnic differences in the society ;

(c) to establish relations with the local and foreign institutions which have similar objects as those of the Corporation :

(d) to print, publish and sell, books, newspapers, magazines and publications, and to establish and maintain libraries and reading halls ;

(e) to organize seminars in Sri Lanka and abroad on religion, culture, education and peace ;

(f) to do all such other things as may be necessary or conducive to accomplishment of the objects of the Corporation.

Powers of the Corporation.

4. Subject to the provisions of this Act and any other written law, the Corporation shall have the power –

(a) to appoint officers and servants and to dismiss or terminate the services of, officers and servants necessary for the attainment of the objects of the Corporation and to pay them remuneration and to maintain proper discipline in respect of them ;

(b) to obtain or collect grants or donations from sources in Sri Lanka or abroad ;

(c) to establish local and foreign branches, for the accomplishment of the objects of the Corporation ;

Management of the affairs of the Corporation.

5. The affairs of the Corporation shall subject to the provisions of this Act and the rules inforce for the time being of Corporation, be administered by a Board of Management consisting of the Executive General Secretary of the Corporation and such other office bearers as may be provided for by the rules of the Corporation and elected in accordance therewith.

General Powers of the Corporation.

6. Subject to the provisions of this Act, and any other written law, the Corporation shall have the power”

(a) to borrow money for the purposes of the Corporation ;

(b) to make, draw, accept, discount, endorse, negotiate, buy. sell and issue, bills of exchange, cheques, promissory notes and other negotiable instruments and to open, operate, maintain and close bank accounts in Sri Lanka, or abroad subject to existing law :

(c) to invest any funds not immediately required for the purpose of the Corporation in such manner as the Board of Management may consider desirable ;

(d) to solicit and receive subscriptions, grants, donations, and gifts ;

(e) to enter into agreements or contracts with any person, or body of persons whether incorporated in Sri Lanka or abroad or with any Government Department. Corporation. Board, Provincial Council or local authority for the achievement of the objects of the Corporation ; and

(f) to train personnel in Sri Lanka or abroad for the benefit of the Corporation.

Property remaining on dissolution.

7. If upon the dissolution of the Corporation there remains after the satisfaction of all its debts and liabilites any property whatsoever, such property shall not be distributed among the members of the Corporation, but shall be given or transferred to some other institution or institutions having objects similar to those of the Corporation and which is or are by the rules thereof prohibited from distributing any income or property among its or their members. The members of the Corporation shall determine such institution or institutions at the time of dissolution of the Corporation or prior to dissolution,

Fund of the Corporation.

8. The Corporation shall have its own fund and all moneys recieved hitherto or hereafter by way of gift, bequest, donation, subscription, contribution for and on account of [he Corporation shall be deposited to the credit of the Corporation in one or more banks as the Board of Management shall determine.

Corporation may hold property movable or immovable.

9. Subject to the provisions of this Act, the Corporation shall be able and capable to receive and hold any property. movable or immovable by virtue of purchase, grant, gift or testamentary disposition or otherwise, and all such property shall be held by the Corporation for the purposes of this Act and subject to the rules for the time being of the Corporation. with full power to sell, mortgage, lease, exchange or otherwise dispose of the same.

Rules of the Corporation.

10. The Corporation may. at any general meeting and by a majority of not lass than two-thirds of the members present and voting may make rules, not inconsistent with the provisions of this Act and any other written law, in respect of admission of members their resignation and expulsion and the election of office bearers. The rules of the Corporation may be amended, altered, added to. or rescinded at a like meeting and in like manner.

Seal of the Corporation.

11. The seal of the Corporation shall be in the custody of the Hon. Executive General Secretary and may he affixed as and when required and in such circumstances as are provided for by the rules for the time being inforce of the Corporation.

Accounts.

12.

(a) The Corporation shall cause proper accounts to be kept of all the moneys received and expended by the Corporation.

(b) The accounts of the Corporation shall be examined and audited at least once in every year and the correctness of Income and Expenditure Account and Balance Sheet certified by the auditor or auditours who are the associate members of the Instiute of Chartered Accountants of Sri Lanka appointed by the Corporation.

Debts of the Corporation.

13. All debts and liabilities of the Association existing on the day preceding the date of Commencement of this Act shall be paid by the Corporation hereby constituted, -and all debts due to, and subscriptions and contributions payable to the Association on that day shall be paid to the Corporation for the purposes of this act.

Saving of the rights of the Republic and others.

14. Nothing in this Act contained shall prejudice or affect the rights of the Republic or of any body politic or corporate, or of any other persons except such as are mentioned in this Act, and those claiming by, from, or under, them.

Sinhala text shall prevail in case of inconsistency.

15. In the event of any inconsistency between the Sinhala and Tamil texts of this Act, the Sinhala text shall prevail
