AN ACT TO INCORPORATE THE BOARD OF DIRECTORS OF THE MUSLIM LADIES COLLEGE.
Preamble.

Whereas Sir Razik Fareed in memory of his only child the late Sithy Hajara, founded a school on a land and building provided by him, Lady Ameena Fareed and other members of their family at Fareed Place, Colombo, called and known as the Muslim Ladies College :

And whereas the affairs and objects of the said college have heretofore been managed and carried out by a board of directors :

And whereas the said board of directors has applied to be incorporated and it will be for the public advantage to grant the application :

Be it enacted by the Queen’s Most Excellent Majesty, by and with the advice and consent of the Senate and of the House of Representatives of Ceylon in this present Parliament assembled, and by the authority of the same, as follows : –

Short title.

1. This Act may be cited as the Muslim Ladies College Board of Directors Act.

Incorporation of the board of directors of the Muslim Ladies College.

2.

(1) The board of directors of the Muslim Ladies College (hereinafter referred to as ” the college”) shall be a body corporate (hereinafter referred to as “the board”) with perpetual succession, a common seal and the name “The Board of Directors of the Muslim Ladies College “. The board may sue and be sued by that name.

(2) Subject to the provisions of section 7, the board shall consist of the following persons : –

Office-bearers of the board.

3. Sir Razik Fareed, Mr. M. S. Alif and Mr. M. Salih Mohideen shall be president, secretary and treasurer respectively of the board.

The executive committee.

(1) Subject to the provisions of subsection (2), the president, secretary and treasurer of the board, the president of the Moor Ladies Union, and the manageress of the college shall form the executive committee of the board (hereinafter referred to as ” the executive committee “).

(2) The executive committee may co-opt to that committee such of the members of the board as to that committee may seem fit.

The use of a common seal.

5. The board shall make provision for the safe custody of the seal and it shall be affixed to any instrument only in the presence of at least three members of the executive committee who shall sign their names on the instrument in token of their presence and such signing shall be independent of the signing of any person as witness.

Powers of the board in regard to property.

6. The board may acquire and hold any movable or immovable property, by purchase, grant, gift, testamentary disposition or otherwise, for the use and benefit of the college, and shall have power to lease, mortgage, transfer or otherwise dispose of any such property for the benefit of the college and assign, for such benefit, any mortgage or other security which it may hold.

Tenure of office of member of board or office-bearer.

(1) Each member of the board shall, unless he earlier resigns his membership of the board or ceases under subsection (2) to be a member of the board, and the holder of the office of president or secretary or treasurer of the board shall, unless he earlier resigns that office, be a member of the board or hold that office, as the case may be, for life.

(2) A member of the board shall cease to be such member if he absents himself without the previous permission of the board from three consecutive meetings of the board.

Appointment of successors.

8.

(1) Subject to the provisions of subsection (3), any of the first fifty-two members of the board referred to in section 2 may nominate, with the approval of the executive committee, a successor in the event of his resignation or death.

(2) Where any member of the board resigns or dies without nominating a successor or where the nomination of such member has not been approved by the executive committee, the executive committee shall, subject to the provisions of subsection (3), appoint a person to fill the vacancy.

(3) The nomination or appointment of a successor to any member of the board under the preceding provisions of this section shall be in accordance with the following conditions :-

(a) The successor shall be a male if the member for whom a successor is to be nominated or appointed is a male.

(b) The successor shall be a female if the member for whom a successor is to be nominated or appointed is a female.

(c) The successor shall be a person who professes the Islamic faith.

(4) Where the holder of the office of president, secretary or treasurer of the board resigns that office, the executive committee may appoint any other member of the board as his successor.

Resignation of directors.

(1) Any member of the board may resign therefrom after giving the secretary of the board not less than one calendar month’s notice in writing of his intention to do so.

(2) The holder of the office of president or secretary or treasurer of the board may resign that office, if he is the president of the board, by giving to the secretary of the board not less than one calendar month’s notice in writing of his intention to do so, and, if he is the secretary or the treasurer of the board, by giving such notice to the president of the board.

Meetings of the board and executive committee.

(1) The board shall meet once at least in every three months upon notice sent in writing by the secretary of the board not less than five days before the date of such meeting.

(2) The secretary of the board may summon a special meeting, upon a written requisition made in that behalf by at least three members of the board stating the objects for which the meeting is convened, by giving three days’ notice of such meeting.

(3) The executive committee shall meet as often as required.

(4) The quorum for any meeting of the board shall be nine, and the quorum for any meeting of the executive committee shall be three.

The president.

11. The president of the board shall preside at all meetings and shall have a casting vote and an original vote. In his absence a chairman pro tempore shall be elected from among the members present.

The secretary.

12. The secretary of the board shall convene all meetings and shall keep a minute book of the proceedings.

The treasurer and accounts of the board.

13. The treasurer of the board shall have charge of all moneys received by the board and disburse these in such manner as the board may from time to time determine and shall keep an account of all property and financial transactions of the board. The accounts of the board shall be audited at least once a year by a duly qualified auditor.

Powers of executive committee.

14. The executive committee shall, subject to any rules made in that behalf under section 15, have power to appoint the manageress, the principal and other members of the staff of the college and at their discretion to remove any of them and to decide upon all matters connected with the course of studies in the college and the management of the college.

Power to make rules.

15. It shall be lawful for the board from time to time at any meeting of the board and by majority of votes to make rules for the conduct of the duties of the board, of the executive committee and of the office-bearers, officers and servants of the board, for the procedure in the transaction of business, and otherwise generally for the management of the affairs and the accomplishment of the objects of the board. Such rules when made may, at any subsequent meeting of the board, be amended or rescinded.

Saving of the rights of the Crown and others.

16. Nothing in this Act contained shall prejudice or affect the rights of Her Majesty the Queen, Her Heirs and Successors, or of any body politic or corporate or of any other persons, except such as are mentioned in this Act and those claiming by, from or under them.
