AN ACT TO INCORPORATE THE NALEEMIAH INSTITUTE OF ISLAMIC STUDIES SOCIETY.
Preamble.

WHEREAS a society called and known as the ” Naleemiah Institute of Islamic Studies Society Limited ” has heretofore been established at Beruwala for the purpose of effectively carrying out and transacting all matters connected with the said Society according to the rules agreed to by its members:

AND WHEREAS the said Society has heretofore successfully carried out and transacted the several objects and matters for which it was established and has applied to be incorporated and it is now desirable and expedient that the said Society should be incorporated :

Be it therefore enacted by the Parliament of the Democratic Socialist Republic of Sri Lanka as follows :

Short title.

1. This Act may be cited as the Naleemiah Institute of Islamic Studies, Society (Incorporation) Act, No. 34 of 1982.

Incorporation of the Naleemiah Institute of Islamic Studies Society.

2. From and after the date of commencement of this Act, the persons named in the First Schedule to this Act, being presently members of the Naleemiah Institute of Islamic Studies Society Limited (hereinafter referred to as ” the Society”), and such persons as may hereafter be admitted members of the Corporation hereby constituted, shall be and become a body corporate with perpetual succession under the style and name of the “Naleemiah Institute of Islamic Studies Society ” (hereinafter referred to as ” the Corporation “) and by that name may sue and be sued in all courts, with full power and authority to have and to use a common seal and to change and alter the same at its will and pleasure.

General objects of the Corporation.

3. The general objects of the Corporation are hereby declared to be

(a) to finance, maintain and manage for the purpose of promoting knowledge and for furthering the study of Islam, the Institute called “The Naleemiah Institute of Islamic Studies ” comprising

(i) the free educational institution called the ” Jamiah Naleemiah ” ;

(ii) the Islamic Reference and Research Library called the “Naleemiah Islamic Library”;

(iii) the Bureau of Islamic Publications called ” The Naleemiah Bureau of Islamic Publications “; and

(iv) any other service as may appear necessary to attain the aims and objects referred to in this paragraph;

(b) to provide itself with everything necessary for the above purposes; and

(c) to do all such other acts and things as are incidental or conducive to the attainment of the above objects.

General powers of the Corporation.

4. Subject to the provisions of this Act and other written law, the Corporation shall have the power to do; perform and execute all such acts, matters and things whatsoever, as are necessary or desirable for the promotion or furtherance of the objects of the Corporation or any one of them including the power to open, operate and close bank accounts, to borrow or raise moneys, with or without security, and for the carrying out of the objects of the Corporation, to engage, employ and dismiss personnel.

Management of the affairs of the Corporation.

(1) The affairs of the Corporation which for purposes of administration are by its rules reserved or relegated to a Committee of Management shall, subject to the rules in force for the time being of the Corporation, be administered by such Committee of Management consisting of the President, the Honorary Secretary and the Honorary Treasurer of the Corporation, and not less than twelve other persons to be elected in accordance with the rules for the time being of the Corporation :

Provided however that the office of President shall during his lifetime be held by M. I. M. Naleem Hajiar.

(2) All members of the Corporation shall be subject to the rules in force for the time being of the Corporation.

(3) The first Committee of Management of the Corporation shall consist of the members of the Committee of Management of the Society holding office at the time of coming into operation of this Act, and whose names are specified in the Second Schedule to this Act.

Rules of the Corporation.

6. It shall be lawful for the Corporation from time to time at an Annual General Meeting, or at any General Meeting of the members summoned for that purpose with two weeks’ notice and by a majority of votes of not less than two-thirds of the members present and voting, to make rules not inconsistent with this Act, with regard to the admission, withdrawal or expulsion of members, the election, removal, powers, conduct and duties of the office-bearers and of the Committee of Management, the procedure to be observed in the transaction of business, the conduct, duties and functions of the employees of the Corporation, and otherwise generally for the management of the affairs of the Corporation, and the accomplishment of its objects. Such rules when made may, at a like meeting, according to such rules, be altered, added to, amended or rescinded.

Debts due by and payable to the Society.

7. All debts and liabilities of the Society existing at the time of the coming into operation of this Act shall be paid by the Corporation hereby constituted, and all debts due to and subscriptions and contributions payable to the Society shall be paid to the Corporation for the purposes of this Act.

How the seal of the Corporation is to be affixed.

8. The seal of the Corporation shall not be affixed to any instrument whatsoever except in the presence of such number of persons as may be provided for in the rules of the Corporation, who shall sign their names to the instrument in token of their presence, and such signing shall be independent of the signing of any person as a witness.

Corporation may hold and dispose of property movable and immovable.

9. The Corporation shall subject to the rules in force for the time being of the Corporation be capable in law to take and hold any property, movable or immovable, which may become vested in it by virtue of any purchase, grant, gift, testamentary disposition or otherwise, and all such property shall be held by the Corporation for the purposes of this Act and subject to the rules in force for the time being of the Corporation, with full power to mortgage, sell, lease, exchange or otherwise dispose of the same.

Saving of the rights of the Republic and others.

10. Nothing in this Act contained shall prejudice or affect the rights of the Republic, or of any body politic or corporate, or of any other persons, except such as are mentioned in this Act and others claiming by, from or under them.
