National Youth Hostel Association Of Sri Lanka (Incorporation)
AN ACT TO INCORPORATE THE NATIONAL YOUTH HOSTEL ASSOCIATION OF SRI LANKA
Preamble.

WHEREAS an Association called and known as the ” National Youth Hostel Association of Sri Lanka” has heretofore been established in Sri Lanka for the purpose of effectually carrying out and transacting all objects and matters connected with the said association according to the rules agreed to by its members:

AND WHEREAS the said Association, has heretofore successfully carried out and transacted the several objects and masters for which it was established, and has applied to be incorporated, and it will be for the public advantage to grant the application :

BE it therefore enacted by the Parliament of the Democratic Socialist Republic of Sri Lanka as follows: ”

Short title.

1. This Act may be cited as the National Youth Hostel Association of Sri Lanka (Incorporation) Act, No. 11 of 1991.

Incorporation of the National Youth Hostel Association of Sri Lanka.

2. From and after the date of commencement of this Act, such and so many persons as now are members of the National Youth Hostel Association of Sri Lanka (hereinafter referred to as ” the Association”), or shall hereafter be admitted members of the Corporation hereby constituted, shall be a body corporate (hereinafter referred to as ‘the Corporation’) with perpetual succession under the style and name of the “National Youth Hostel Association of Sri Lanka “, and by that name may sue and be sued, with full power and authority to have and use a common seal and alter the same at its pleasure.

General objects of the Corporation.

3. The general objects for which the Corporation is constituted are hereby declared to be”

(a) to unite in one body all persons in Sri Lanka who are interested in providing hostel facilities for youth to help and encourage all people, in particular the young people, to acquire a knowledge, and under standing of the countryside, and to appreciate of the cultural values of towns and cities, both within and outside Sri Lanka;

(b) to represent the Interests of the members of the Corporation and other member associations of the International Youth Hostel Federation, wherever it is considered necessary;

(c) to afford Hostel facilities for youth by proving youth hostels, other accommodation and travel facilities;

(d) to organize, promote and encourage, competitions, contests, lectures, discussions, displays and demonstrations and to print and publish journals, magazines, handbooks, brochures and other literature,, relating to youth hostels ;

(e) to promote communal harmony, international friendship and understanding and to inculcate a sense of discipline and self-reliance amongst the members of the corporation ;

(f) to acquire or lease land and property, camping sites, buildings, boats, river and sea craft and other structures, in furtherance of the objects of the Corporation and to dispose of any such property, movable or immovable, by way of sale, gift or otherwise ;

(g) to encourage the formation of regional councils of the Corporation in furtherance of the objects of the Corporation ; and

(h) to do all such other acts and things as not inconsistent with this Act or any other written law as are conducive or incidental to, the attainment of the above objects or any one of them.

General powers of the Corporation.

4. Subject to the provisions of this Act and any other written law, the Corporation shall have the power to do. perform and execute all such acts, matters and things what so ever as are necessary or desirable for the promotion or furtherance of the objects of the Corporation or any one of them, including the power to open, operate and close bank accounts, to borrow or raise money, with or without security, to receive or collect grants and donations, to invest its funds, and to engage, employ and dismiss officers and servants required for the carrying out of the objects of the Corporation.

Management of the affairs of the Corporation.

(1) The affairs of the Corporation shall, subject to the rules of the Corporation, be administered by an Executive Committee consisting of the office-bearers and such other persons as may be provided for in such roles and elected in accordance therewith.

(2) The first Executive Committee of the Corporation shall be the Executive Committee of the Association holding office on the day preceding the date of the commencement of this Act.

Board of Trustees.

(1) The custody of. all immovable property of the Corporation shall, subject to the rules of the Corporation, be vested in a Board of Trustees consisting of three members to be. elected in accordance with the rules in force for the time being of the Corporation.

(2) The first Board of Trustees of the Corporation shall be the Board of Trustees of the Association holding office on the day preceding the date of commencement of this Act,

Rules of the Corporation.

(1) it shall be lawful for the Corporation at an Annual General Meeting or a special general meeting convened for the purpose and by the votes of not less than two-thirds of the members present and voting, to make rules, not inconsistent with the provisions of this Act or any other written law for the admission, withdrawal or expulsions of members, or the election and terms of office, of the office bearers, the executive committee and the Board of Trustees and for the management of the affairs of the Corporation and the accomplishment of its objects. Such rules when made may, at a like meeting and in like manner be altered, added to, amended or rescinded.

(2) The members of the Corporation shall be subject to the rules of the Corporation.

Debts due by and payable to the Association.

8. All debts and liabilities of the Association existing on the day preceding the date of commencement of this Act shall be paid and discharged by the Corporation and all debts due to, and subscriptions and contributions payable to, the Association on that day shall be paid to the Corporation.

Corporation may hold property movable and immovable.

9. The Corporation shall be capable in law to take and hold any property, movable or immovable, which may become vested in it by virtue of any purchase, grant, gift, testamentary disposition or otherwise, and all such property shall be held by the Corporation for the purposes of this Act and subject to the rules in force for the time being of the Corporation, with full power to sell, mortgage, lease, exchange or otherwise dispose of the same.

How the seal of the Corporation is to be affixed.

10. The seal of the Corporation shall not be affixed to any instrument whatsoever except in the presence of at least two members of the Board of Trustees or such other persons as may be duly authorized by the Executive Committee who shall sign their names to the instrument in token of their presence, and such signing shall be independent of the signing: of any person as a witness.

Property remaining on dissolution.

11. If upon the dissolution of the Corporation, there remains, after the satisfaction of all debts and liabilities, any property whatsoever, such property shall not be distributed among the members of the Corporation, but shall be given or transferred to some other association or associations having objects similar to the objects of the Corporation, and which is, or are, by the rules thereof prohibited from distributing any income or property among its or their members. Such association or associations shall be determined by the members of the Corporation at or immediately before the time of the dissolution of the Corporation.

Saving of the rights of the Republic and others.

12. Nothing in this Act contained shall prejudice or affect the rights of the Republic, or of any body politic or corporate, or of any other persons, except such as are mentioned in this Act and those claming by, from, or under, them.

Sinhala text to prevail in case of inconsistency.

13. In the event of any inconsistency between the Sinhala and Tamil texts of this Act, the Sinhala text shall Prevail.
