AN ACT TO INCORPORATE THE EYOICHI SASAKAWA CULTURAL HEALTH SERVICES AND EDUCATIONAL SERVICES FOUNDATION.
Preamble

WHEREAS a Foundation called and known as the ” Ryoichi Sasakawa Cultural, Health Services and Educational Services Foundation ” has heretofore been established for the purpose of effectually carrying out its objects and transacting all matters connected with the said Foundation, according to the rules agreed to by its members :

AND WHEREAS the said Foundation has applied to be incorporated, and it will be for the public advantage to grant application :

BE it therefore enacted by the Parliament of the Democratic Socialist Republic of Sri Lanka as follows : –

Short title.

1. This Act may be cited as the Ryoichi Sasakawa Cultural, Health Services and Educational Services Foundation (Incorporation) Act, No. 8 of 1992.

Incorporation of the Eyoichchi Sasakawa Cultural Health Services and Educational Services Foundation.

2. From and after the date of commencement of this Act, such and so many persons as now are members of the Ryoichi Sasakawa Cultural, Health Services and Educational Services Foundation (hereinafter referred to as the ” Foundation “) or shall hereafter be admitted as members of the Corporation hereby constituted, shall be, a body corporate (hereinafter referred to as the ” Corporation “) with perpetual succession under the name and style of “Ryoichi Sasakawa Cultural, Health Services and Educational Services Foundation ” and by that name may sue, and be sued, in all courts, with full power and authority to have and to use a common seal and to alter the same at its will and pleasure.

Objects of the Corporation.

3. The objects for which the Corporation is constituted shall be-

(a) to propagate the principles of the Honourable Ryoichi Sasakawa of Japan;

(b) to promote universal brotherhood amongst the people of the world ;

(c) to assist in the promotion of racial, religious and communal harmony, and the eradication of social disabilities;

(d)to co-operate with local and foreign organisations having similar objects and to promote peace and harmony among the people of the world ;

(e)to establish, maintain conduct and manage schools, colleges and other educational institutions to achieve it’s objects and to provide loans, awards scholarships, prizes and other facilities for deserving students in Sri Lanka and abroad ;

(f) to encourage spiritual philosophical, cultural or religious studies and to train students and others,. for a life of dedication and service to mankind and for the propagation of the teachings of the Honourable Ryoichi Sasakawa ; .

(g) to provide financial and other assistance to persons engaged in the propagation of such teachings ;

(h) construct, maintain and administer children’s parks, playgrounds, sports training centres, orphanages, clinics, hospitals, diagnostic centres, community halls and to extend medical relief and aid, in any manner, to the needy;

(i) to promote, arrange. Organise and hold exhibitions lectures, seminars, symposia, workshops, classes, debates, conferences, tours, excursions or any other activities for the furtharence of its objects;

(j) to provide and ma maintain libraries, and other services to subscribe for, print, publish, sell and issue, books, journals, souvenirs, periodicals and newspapers for the carrying out the objects of the Corporation .

(k) to send delegates to religious, philosophical or peace Conferences in Sri Lanka or abroad ;

(l) to encourage people to grow trees and protect the atmosphere;

(m) to exchange views with the followers of the Honourable ryoichi Sasakawa in Japan and in other countries, and co-operate with them to promote the objects of the Corporation;

(n) generally to do such other things as are necessary, for conducive or incidental to, the attainment of the objects of the Corporation.

Powers of the Corporation.

4. Subject to the provisions of this Act and any other written law, the Corporation shall, have the power-

(a) to appoint, remunerate and exercise disciplinary control over, such officers and servants as may be necessary for the purpose of the Corporation;

(b) to receive or collect any aid, grant or gift from any person, or body of persons corporate or otherwise, or from any Government;

(c) to establish branch organisations of the Corporation In foreign countries for the purpose of achieving all or any of the objects of the Corporation ;

(d) to borrow or raise money for the furtherance of the objects of the Corporation, and to execute any mortgage or bond to secure the payment of the money so borrowed or raised ;

(e) to enter into or perform, either directly or through its officers or servants or agents authorized in that behalf by the Corporation, all such contracts and agreements as may be necessary, for the exercise, discharge and performance of the powers, functions and duties of the Corporation, or for carrying on the affairs or for furthering the objects of the Corporation;

(f) subject to the provisions of this Act and any other written law to do all such acts or things as may be necessary, and for the attainment of the objects set out in section 3.

Management of the affairs of the Corporation.

(1) The affairs of the Corporation shall, subject to the provisions of this Act, and the rules in force for the time being of the Corporation be administered by a Board if Management consisting a Director-General and such number of members as may be provided for in rules of the Corporation.

(2) The first Director-General of the Corporation shall be Venerable Pelpola Vipassi Thero.

Corporation may hold properly, movable and immovable.

6. Subject to the provisions of this Act the Corporation shall be able and capable in law to take and hold any property, movable or immovable, which may become vested in it by virtue of any purchase, grant, gift, testamentary disposition or otherwise, and all such property shall be held by the Corporation for the purposes of this Act and subject to the rules in force for the time being of the Corporation with full power to sell, mortgage, lease, exchange or otherwise dispose of the same.

Rules of the Corporation.

(1) It shall be lawful for the Corporation, from time to time, at any general meeting of the members and by votes of at least two-thirds of the members present and voting, to make such rules not inconsistent with the provisions of this Act, or any other written law, for the admission, withdrawal or expulsion of members, election of the office-bearers and otherwise generally, for the management of the affairs of the Corporation and the attainment of its objects including rules providing for the filling of any vacancy in the office of Director-General of the Corporation. Such rules when made may, at a like meeting and in like manner be altered, added to, amended or rescinded.

(2) The rules of the Foundation in force on the day preceding the date of commencement of this Act shall, in so far as they are not inconsistent with the provisions of this Act or other written law, be deemed to be the rules of the Corporation made under this section and may be altered, added to, amended, rescinded or replaced by rules made under this Act.

(3) The members of the Corporation shall be subject to the rules of the Corporation.

Debts due by and payable to the Foundation.

8. All debts and liabilities of the Foundation existing on the day preceding the date of commencement of this Act, shall be paid by the Corporation and all debts due to, and subscriptions and contributions payable to the said Foundation on that day shall be paid to the Corporation, for the purposes of this Act.

The seal of the Corporation.

9. The seal of the Corporation shall be kept in the custody of the Director-General of the Corporation and corporation shall not be affixed to any instrument whatsoever except in the presence of such Director-General and of such number of persons as may be provided for in the rules in force for the time being of the Corporation, who shall sign their names to the instrument in token of their presence, and such signing shall be independent of the signing of any such person as a witness.

Saving of the rights of the Republic and others.

10. Nothing in this Act contained shall prejudice or affect the rights of the Republic, or of any body politic or corporate or of any other persons except such as are mentioned in this Act, and those claiming by, from, them.

Sinhala text to prevail in case of inconsistency.

11. In the event of any inconsistency between the Sinhala and Tamil texts of this Act, the Sinhala text shall prevail.
