AN ACT TO INCORPORATE THE SRI LANKA ISLAMIC CENTRE
Preamble.

WHEREAS an Institution called and known as ” the Sri Lanka Islamic Centre ” has heretofore been established in Colombo by Mohamed Haniffa Mohamed for the purpose of carrying out and transacting all subjects and matters connected with the said institution according to the rules agreed to by its members :

AND whereas the said Institution has heretofore beer, successful by carrying out and transacting the several objects and matters for which it was established, and it has applied to be incorporated, and it will be for the public advantage to grant the application :

BE it therefore enacted by the Parliament of the Democratic Socialist Republic of Sri Lanka as follows : ”

Short title.

1. This Act may be cited as the Sri Lanka Islamic Centre Incorporation) Act. No. 2 of 1991.

Incorporation of the Sri Lanka Islamic Centre.

2, From and after the: date of commencement of this Act, the persons named in the Schedule (who are presently members of the Sri Lanka Islamic Centre) and such and so many members as shall after that date be admitted as members of the body corporate hereby constituted, shall be and become a body corporate with perpetual succession under the name and style of ” The Sri Lanka Islamic Centre” (hereinafter referred to as ” the Corporation “) and by that name, may sue and be sued in all courts, with full power and authority to have and use a common sea] and to alter he same at its discretion.

General objects of the Corporation.

3. The general objects for which the Corporation is hereby constituted are declared to be”

(a) to promote the study and the acquisition of knowledge of Islam, its institutions, observances and practices ;

(b) to promote the teaching of Arabic to enable persons to read and understand the Quran ;

(c) to promote in general, the religious, cultural, economic and social well-being and welfare of the people ;

(d) to erect, maintain, upkeep and develop the Headquarters building ; and

(e) to do all such acts and things as are incidental or conducive, to the attainment of the above objects.

Rules of the Corporation.

4. It shall be lawful for the Corporation, from time to time, at any General Meeting of the members, and by a majority votes of members present and voting at the meeting to make, rules as are not in consistent with the provisions of this Act or any other written law for any or all of the following purposes and to alter vary, amend or delete them :”

(a) the procedure to be observed at the meeting, of the Corporation and in convening such meetings and on transacting business at such meetings ;

(b) the administration of the property of the Corporation ;

(c) the management of the affairs of the Corporation and the attainment of its object;

(d) the custody of the seal of the Corporation.

Council of the Centre.

5. There shall be Council to advise and counsel the Corporation when so required to which Muslims may be enrolled as members”

(a) by nomination by the said Mohamed Haniffa Mohamed ; and

(b) on application, in accordance with the rules made by the Corporation.

Centre may hold and dispose of property movable and immovable.

6. The control, administration and management of the affairs of the Corporation including the power to expend the funds of the Corporation, to deal with, dispose of, or acquire, or purchase, exchange, grant, gift, devise or bequeath, any movable or immovable property of the Corporation shall, subject to this Act, and the rules for the time being in force, be vested in the Corporation.

General powers of the Corporation.

7. Subject to the provisions of this Act or any other written law, the Corporation shall have the power to do, perform and execute all such acts, matters and things whatsoever as are necessary, desirable and expedient for the promotion or the furtherance of the objects of the Corporation or any one of them, including the power to invest its funds or to raise funds, to construct any building on land vested in, or acquired or held by it, to open operate or close Bank accounts and to engage, employ or dismiss officers and servants.

Seal of the Corporation.

8. The seal of the Corporation shall not be affixed to any instrument what soever except in the presence of two members of the Council who shall sign the instrument in token of their presence. Such signing shall be independent of the signing of any person as a witness.

Saving the rights of the Republic and others.

9. Nothing in this Act contained shall prejudice or affect the rights of the Republic or of any body politic or corporate, or of any other persons, except such as are mentioned in this Act and those claiming by, from or under them.

Sinhala text to prevail in case of inconsistency.

10. In the event of any inconsistency between the Sinhala and the Tamil texts of this Act the Sinhala text shall prevail.
