AN ACT TO INCORPORATE THE BOARD OF MANAGEMENT OF THE MUSLIM LADIES ARABIC COLLEGE MANAGING SOCIETY KAL-ELIYA.
Preamble.

WHEREAS a society called and known as “the Muslim Ladies Arabic College Managing Society” has heretofore been established at Kal-Eliya for the purpose of managing and. maintaining the Muslim. Ladies Arabic College and its allied institutions “the Darul Aitham (Muslim Girls’ Home) and the Darul Athfal (The Children’s Home) and its affiliated branches:

AND WHEREAS the said society has heretofore carried out and transacted the several, objects and matters for which it was established:

AND WHEREAS the Board of management of the aforesaid society has applied to be incorporated and it will be for the public advantage to grant the application :

BE it, therefore, enacted by the Parliament of the Democratic Socialist Republic of Sri Lanka as follows:”

Short title.

1. This Act may be cited as The Board of Management of the Muslim Ladies Arabic College Managing Society Kal-Eliya (Incorporation) Act, No. 46 of 1991.

2. From and after the date of commencement of this Act, the persons specified in the Schedule to this Act who are the present members of the Board of Management of the Muslim Ladies Arabic College, Kal-Eliya Managing Society and such persons who shall hereafter be admitted members of the Body Corporate hereby constituted shall be and become a Body Corporate with perpetual succession under the name and style of ” Board of Management of the Muslim Ladies Arabic College, Kal-Eliya Managing Society” (hereinafter referred to as “the Board”) and may by the said name sue and be sued in all Courts, with full powers and authority to have and use a common seal. and to change and alter the same at its discretion.

Objects of the Board.

3. The general objects for which the constituted are hereby declared to be : ”

(a) the promotion of the study of Arabic and Islamic studies primarily among the Muslim girls of Sri Lanka;

(b) the management, development, up-keep and maintenance of, the Muslim Ladies Arabic College situated at Kal-Eliya and such other institutions of a like nature as the Board may in its discretion decide ;

(c) the management. development.. up-keep and maintenance of the Arabic Academy for Muslim, males at Warakapola called and known as “Madrasathul Hasanath, Warakapola ” ;

(d) the management, development, up-keep and maintenance of Darul Aitham (Muslim Girl’s Home) and the Darul Athfal (Children’s Home) situated within the premises of the Muslim Ladies Arabic College. Kal-Eliya ;

(e) the management, development. up-keep and maintenance of any other homes or branches of the Arabic College, Darul Aitham Darul Athfal and Madrasathul Hasanath which may hereinafter be established ;

(f) to do all such other things as are incidental or conducive to the accomplishment of the above objects.

Rules of the Board.

(1) It shall be lawful for the Board from time to time at any general meeting of the members present and by majority of votes at such meeting to make such rules as are not inconsistent with the provisions of this Act, or any other written law, as the Board may deem expedient in respect of all or any of the following matters : ”

(a) the conduct of the duties of the Board and of its sub-committees, and of office bearers,, agents and servants of the Board ;

(b) the employment, appointment and termination of the services, of necessary officers and servants to discharge the functions of the Board;

(c) the conditions regarding admission of students, charging and recovery of fees, from such students award of scholarships and concessions in respect of poor and needy students ;

(d) the keeping of accounts, the” deposits of monies and the custody and affixing of the seal on documents ;

(e) the management of the affairs of the Corporation and the accomplishment of its objects.

(2) The members of the Board shall be subject to the rules of the Board.

The Board may hold movable and immovable property.

5. The Board may acquire and hold, any movable or immovable property, by purchase, grant, gift, testamentary disposition or otherwise, and subject to the rules for the time being, of the Board, may sell, mortgage, lease, exchange or otherwise dispose of, any movable or immovable property of the Board.

Debts due by and payable of the Society.

6. All debts and liabilities of the Society existing on the day prior to the date of commencement of this Act shall be paid by the Board hereby constituted, and all debts due to and subscriptions and contributions payable to the Society on the day, shall be paid to the Board for the purpose of this Act.

How the seal of the Board is to be affixed.

7. The seal of the Board shall not be affixed to any instrument whatsoever except in the presence of such number of persons as may be provided for in the rules of the Board who shall sign their names to the instrument in token of their presence, and such signing shall be independent of the signing of any person as a witness.

Saving of the rights of the Republic and others.

8. Nothing in this Act contained shall prejudice or affect the rights of the Republic of Sri Lanka or of any body politic or corporate, or of any other persons, except such as are mentioned in this Act. and claiming by. (from, or under, them.

Sinhala text to prevail in case of inconsistency.

9. In the event of any inconsistency between the Sinhala and Tamil text of this Act. the Sinhala text shall prevail,
